Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the website operated by Kanaflex Corporation (“Kanaflex,” “we,” “our,” or “us”), including kanaflex.com and the pages, features, materials, and resources available through it (collectively, the “Site”).

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Site.

1. About the Site

Kanaflex provides the Site for general informational, educational, marketing, and business purposes. The Site contains information about Kanaflex, its products, industries served, distributors, technical resources, and related topics.

The Site is not an online store, and displaying a product on the Site does not constitute an offer to sell that product. Product purchases, quotations, orders, shipments, warranties, returns, and other commercial transactions are governed by the applicable agreement, purchase order, quotation, and Kanaflex Terms and Conditions of Sale.

If these Terms conflict with an applicable written sales agreement or Kanaflex Terms and Conditions of Sale, the sales agreement or Terms and Conditions of Sale will control with respect to the relevant commercial transaction.

2. Changes to These Terms

We may revise these Terms periodically. When we make changes, we will post the revised Terms on this page and update the Effective Date.

Your continued use of the Site after revised Terms are posted constitutes your acceptance of those revised Terms. You should review this page periodically for changes.

3. Permitted Use

You may access and use the Site only for lawful business, informational, and personal purposes and in accordance with these Terms.

Subject to these Terms, Kanaflex grants you a limited, nonexclusive, nontransferable, revocable right to access and use the Site and to download or print reasonable portions of its publicly available content for legitimate business or informational purposes.

This permission does not transfer ownership of any content or intellectual property to you.

4. Prohibited Conduct

You may not:

  • Use the Site for any unlawful, fraudulent, abusive, or unauthorized purpose.
  • Violate any applicable law, regulation, or third-party right.
  • Attempt to gain unauthorized access to the Site, its servers, networks, systems, accounts, databases, or administrative functions.
  • Interfere with or disrupt the operation, security, availability, or performance of the Site.
  • Introduce viruses, malware, malicious code, or other harmful technology.
  • Circumvent security measures, access controls, rate limits, or technical restrictions.
  • Use automated systems in a manner that places an unreasonable burden on the Site, interferes with its operation, circumvents security controls, or violates applicable instructions provided through the Site.
  • Copy, reproduce, republish, distribute, sell, license, modify, create derivative works from, publicly display, or commercially exploit Site content except as expressly authorized by Kanaflex.
  • Remove or alter copyright, trademark, patent, confidentiality, or other proprietary notices.
  • Misrepresent your identity, affiliation, authority, or relationship with Kanaflex.
  • Impersonate Kanaflex or suggest that Kanaflex endorses a person, product, service, or organization without written authorization.
  • Collect personal information about Site users without authorization.
  • Use Site content to develop, market, manufacture, or sell counterfeit, infringing, or unauthorized products.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or nonpublic technology used to operate the Site, except where applicable law expressly permits it.

Kanaflex may suspend or terminate access to the Site when it reasonably believes these Terms have been violated.

5. Product Information and Specifications

Kanaflex makes reasonable efforts to provide useful and accurate product information. Nevertheless, product descriptions, specifications, dimensions, pressure ratings, vacuum ratings, temperature ranges, materials, colors, photographs, illustrations, availability, certifications, compatibility information, and other Site content may be updated or corrected without notice.

Images and illustrations may not precisely represent a product’s color, dimensions, construction, or appearance. Product availability and specifications may vary by size, configuration, application, location, or production run.

Information on the Site does not replace an applicable product data sheet, engineering review, written quotation, product label, installation instruction, safety document, or contractual specification.

Before selecting, purchasing, installing, or using a Kanaflex product, you are responsible for:

  • Confirming that you have the current product information and specifications.
  • Evaluating the product for the intended application and operating environment.
  • Confirming chemical and material compatibility.
  • Confirming pressure, vacuum, temperature, bend-radius, flow, grounding, and dimensional requirements.
  • Following applicable laws, regulations, codes, standards, safety practices, and manufacturer instructions.
  • Consulting Kanaflex or a qualified distributor when application requirements are uncertain.

Do not rely solely on general Site content to make safety-critical, engineering, installation, or product-selection decisions.

6. No Professional Advice

Content available through the Site is provided for general informational purposes. It is not legal, engineering, safety, environmental, regulatory, or other professional advice.

Any examples, articles, FAQs, application discussions, or educational materials are general in nature and may not account for the conditions of a particular application.

You should consult appropriately qualified professionals and obtain application-specific guidance before making decisions involving safety, regulatory compliance, product compatibility, or system design.

7. Intellectual Property

The Site and its content—including text, product names, trademarks, service marks, logos, trade dress, photographs, graphics, illustrations, videos, documents, downloads, page designs, software, and other materials—are owned by or licensed to Kanaflex and are protected by applicable intellectual-property laws.

Kanaflex®, KanaPipe®, The Original Flexible Hose™, flexDUCT™, flexFLO™, flexVAC™, flexFORCE™, flexFOOD™, flexVAPOR™, flexFUEL™, flexCHEM™, and other Kanaflex names, marks, and branding are trademarks or proprietary identifiers of Kanaflex or its affiliates.

Nothing in these Terms grants you a license or right to use a Kanaflex trademark, logo, product image, trade dress, or other proprietary material except with Kanaflex’s prior written permission.

All rights not expressly granted in these Terms are reserved.

8. Downloads and Technical Materials

The Site may make catalogs, brochures, technical bulletins, product data sheets, installation materials, application guides, and other documents available for download.

These materials are provided for informational purposes and may be revised, replaced, or withdrawn. You are responsible for confirming that you are using the most recent approved version.

Downloading or possessing a document does not authorize you to modify it, remove proprietary notices, misrepresent its source, or distribute an altered version as an official Kanaflex document.

9. Third-Party Websites and Services

The Site may contain links to websites, platforms, resources, distributor pages, social networks, videos, or services operated by third parties.

These links are provided for convenience and do not necessarily imply that Kanaflex endorses, controls, or is affiliated with the third party or its content.

Kanaflex is not responsible for the availability, accuracy, security, privacy practices, products, services, or content of third-party websites. Your use of a third-party website or service is governed by that third party’s terms and policies.

Kanaflex’s collection and use of personal information through the Site are described in the Kanaflex Privacy Policy.

By using the Site or submitting information through a Site form, you acknowledge that your information will be handled in accordance with the Privacy Policy.

You are responsible for ensuring that information you submit is accurate and that you have authority to provide it.

11. Communications

If you submit a contact form, distributor inquiry, employment inquiry, resource request, or other communication through the Site, you authorize Kanaflex to use the information provided to respond to your request and for other purposes described in the Privacy Policy.

Submitting a form does not create a distributor relationship, employment relationship, agency relationship, contractual obligation, or commitment by Kanaflex.

Do not submit confidential, proprietary, export-controlled, or sensitive technical information through a general Site form unless Kanaflex has specifically authorized that submission.

12. Site Availability

Kanaflex may modify, suspend, restrict, or discontinue any portion of the Site at any time without notice.

Kanaflex does not guarantee that the Site will always be available, uninterrupted, secure, or free from errors. Maintenance, updates, security events, network failures, third-party service interruptions, and other circumstances may affect availability.

Kanaflex is not responsible for losses resulting from an inability to access or use the Site.

13. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, MATERIALS, FEATURES, DOWNLOADS, AND INFORMATION AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND.

KANAFLEX DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES RELATING TO THE SITE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, AND FREEDOM FROM HARMFUL CODE.

KANAFLEX DOES NOT WARRANT THAT:

  • THE SITE WILL MEET YOUR REQUIREMENTS;
  • THE SITE WILL BE AVAILABLE WITHOUT INTERRUPTION;
  • SITE CONTENT WILL ALWAYS BE ACCURATE, COMPLETE, CURRENT, OR ERROR-FREE;
  • DEFECTS WILL BE CORRECTED IMMEDIATELY; OR
  • THE SITE OR ITS SERVERS WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KANAFLEX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO:

  • YOUR ACCESS TO OR USE OF THE SITE;
  • YOUR INABILITY TO ACCESS OR USE THE SITE;
  • YOUR RELIANCE ON SITE CONTENT;
  • ERRORS OR OMISSIONS IN SITE CONTENT;
  • LOSS OF DATA, BUSINESS, PROFITS, REVENUE, GOODWILL, OR OPPORTUNITY;
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF INFORMATION;
  • THIRD-PARTY CONTENT, WEBSITES, PRODUCTS, OR SERVICES; OR
  • ANY OTHER MATTER RELATING TO THE SITE.

TO THE FULLEST EXTENT PERMITTED BY LAW, KANAFLEX’S TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING FROM OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply regardless of the legal theory asserted and even if Kanaflex was advised that damages were possible.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, these limitations apply only to the extent permitted by law.

15. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Kanaflex and its affiliates, officers, directors, employees, agents, licensors, service providers, and representatives from claims, liabilities, losses, damages, judgments, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

  • your violation of these Terms;
  • your unlawful or unauthorized use of the Site;
  • your infringement or violation of another person’s rights;
  • information or materials you submit through the Site; or
  • your misuse or unauthorized modification of Site content.

Kanaflex reserves the right to control the defense and settlement of a matter subject to indemnification. You agree to cooperate reasonably with that defense.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.

Any legal action arising from or relating to the Site or these Terms must be brought exclusively in a state court located in Lake County, Illinois, or in the United States District Court for the Northern District of Illinois, as applicable. You consent to the personal jurisdiction and venue of those courts.

Nothing in this section prevents Kanaflex from seeking temporary, preliminary, or permanent injunctive relief in a court of competent jurisdiction to protect its intellectual property, confidential information, systems, security, or other legal rights.

17. Compliance With Laws

You are responsible for using the Site in compliance with all applicable local, state, federal, and international laws and regulations.

You may not use, export, re-export, transfer, or make available Site content in violation of applicable export-control, sanctions, or trade laws.

18. Severability

If any provision of these Terms is found unenforceable or invalid, that provision will be enforced to the maximum extent permitted by law or modified to reflect its intended purpose as closely as possible. The remaining provisions will remain in full force and effect.

19. No Waiver

Kanaflex’s failure to enforce a provision of these Terms does not waive its right to enforce that provision or any other provision later.

A waiver is effective only if it is in writing and signed by an authorized Kanaflex representative.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without Kanaflex’s prior written consent.

Kanaflex may assign or transfer these Terms in connection with a merger, reorganization, sale of assets, corporate transaction, or transfer to an affiliate.

21. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Kanaflex concerning your use of the Site.

They do not replace or modify any applicable written sales agreement, purchase order, quotation, warranty, distributor agreement, or Kanaflex Terms and Conditions of Sale.
